Sample Deed of Indemnity Agreement Part 2

 

NOW THIS DEED OF INDEMNITY WITNESSETH that in pursuance of the agreement herein before recited and in consideration of these premises:

1. The Owner hereby covenants with the Nominee and with the Employee that he will at all times hereafter indemnify and keep indemnified Forming a Company Limited and the Employee against all actions suits proceedings claims demands costs charges and expenses whatsoever which may be made taken or instituted against the Appointee and or the Employee or which may be incurred or become payable by the Nominee director and or the Employee being a member of the Company or the holding by them or either of them of any office of the Company (and whether as Director, Alternate Director, Secretary, Manager, Liquidator, shareholder or otherwise and whether the Nominee secretary and or the Employee is in receipt of remuneration therefrom or not) or in connection with or arising out of any act or omission done or omitted to be done as a member or as an officer of the Company and in particular (but without prejudice to generality of this Indemnity) any such act or omission done by Forming a Company Limited and or the Employee directly or indirectly upon instructions, advice or recommendations whether oral or written and howsoever received from the Owner or his Agents 
PROVIDED that this Indemnity shall not extend to any actions, suits, proceedings, claims, demands, costs, charges and expenses whatsoever which may be made, taken or instituted against the Nominee and or the Employee or which may be incurred or become payable by the Appointee and or the Employee in respect of any fraudulent act or omission by the Appointee and or the Employee.

2. The Owner further covenants with the Appointee that he will at all times indemnify and keep indemnified the Appointee both in respect of any fees due to Forming a Company Limited  in connection with services provided to the Company and in respect of disbursements made by the Appointee on behalf of the Company from time to time.
